1. ACCEPTANCE OF TERMS
By accessing or using www.frozsports.com (the “Site”) and the services offered by FROZ Sport Development Corp. (“FROZ”, “we”, “us”), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Site.
2. ELIGIBILITY
You must be at least 13 years old to use the Site. Users under 18 may engage our services only with the consent and supervision of a parent or legal guardian.
3. DESCRIPTION OF SERVICES
FROZ provides advisory services in academic-athletic pathways to access the U.S. college system. Services are advisory in nature and do not constitute legal, financial, immigration, or medical advice.
4. NO GUARANTEE OF RESULTS
FROZ does not guarantee scholarships, admissions, college offers, NCAA/NAIA/NJCAA eligibility, or any specific athletic or academic outcomes. Final decisions rest exclusively with educational institutions and athletic governing bodies.
5. USER RESPONSIBILITY
You represent that all information (academic, athletic, medical, personal, documentary) provided to FROZ is true, accurate, and current. Misrepresentation may result in termination of services without refund.
6. FEES AND REFUNDS
Fees, payment terms, and refund policies are set out in your individual service agreement. Unless otherwise stated in that agreement or required by applicable law, payments are non-refundable once services begin.
7. INTELLECTUAL PROPERTY
All Site content (text, graphics, logos, video, software) is owned by FROZ or its licensors and protected by U.S. intellectual property laws. Reproduction without written authorization is prohibited.
8. DMCA / COPYRIGHT INFRINGEMENT
If you believe material on the Site infringes your copyright, send a notice complying with the Digital Millennium Copyright Act (17 U.S.C. §512) to hello@frozsports.com.
9. PROHIBITED CONDUCT
You agree not to use the Site for unlawful, fraudulent, or defamatory purposes, to infringe third-party rights, transmit malware, or interfere with Site operations.
10. THIRD-PARTY LINKS AND SERVICES
The Site may contain links to third-party sites and services. FROZ does not control and is not responsible for their content, policies, or practices.
11. DISCLAIMER OF WARRANTIES
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FROZ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. FROZ’S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE PRIOR 12 MONTHS.
13. INDEMNIFICATION
You agree to indemnify and hold harmless FROZ, its officers, employees, and agents from any claim arising from your use of the Site or breach of these Terms.
14. DISPUTE RESOLUTION — ARBITRATION
Any dispute shall be resolved by binding individual arbitration before the American Arbitration Association (AAA) in Atlanta, Georgia, under its Commercial Arbitration Rules. YOU EXPRESSLY WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.
15. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. Exclusive jurisdiction lies with the state and federal courts located in Fulton County, Georgia.
16. TERMINATION
FROZ may suspend or terminate your access to the Site at any time, with or without cause, without notice or liability.
17. CHANGES TO THESE TERMS
FROZ may modify these Terms at any time. Changes take effect when posted on the Site. Continued use constitutes acceptance of the revised Terms.
18. SEVERABILITY
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
